Clients forming new businesses are faced with a multitude of issues. Then, once a business is up and running, clients are faced with a whole new host of issues. In this program, we will discuss legal issues and considerations when forming and maintaining a business. In addition to basic choice of entity considerations, formation issues to be discussed include financing issues, tax treatment, corporate governance and control, and transfer restrictions among others. Ongoing business entity maintenance topics to be discussed will include corporate governance, fiduciary duties owed to minority owners, valuation considerations, and legal compliance among others.Expand summary
